Welcome to Mangrove Media. These Terms of Service ("Terms") govern your access to and use of the MangroveMedia.ca website and the Mangrove Media social media management platform (the "Service") operated by 13452344 Canada Inc., doing business as Mangrove Media ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized access to or use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Subscription and Payment
3.1 Plans and Pricing
The Service offers various subscription plans, including a free tier with limited features. Paid plans are billed on a monthly or annual basis as selected during purchase. All prices are in Canadian dollars (CAD) unless otherwise stated.
3.2 Payment Processing
Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method. You agree to keep your payment information current at all times.
3.3 Refunds
We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied within the first 14 days of your paid subscription, contact us for a full refund. After the 14-day period, subscription fees are non-refundable. Partial-month refunds are not available for canceled subscriptions.
3.4 Plan Changes
You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately, with prorated charges applied. Downgrades take effect at the end of the current billing cycle.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Post or distribute spam, malware, or malicious content
- Engage in harassment, hate speech, or bullying
- Impersonate any person or entity
- Scrape, mine, or collect data from the Service without authorization
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or related systems
- Use the Service to violate the terms of service of any connected social media platform
- Use automated systems or bots to access the Service beyond provided APIs
- Circumvent any rate limiting, usage limits, or other technical restrictions
5. Your Content
5.1 Ownership
You retain all ownership rights to the content you create, upload, or publish through the Service ("Your Content"). We do not claim ownership over Your Content.
5.2 License to Us
By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, display, and transmit Your Content solely for the purpose of providing the Service to you (e.g., scheduling and publishing to social media platforms, displaying previews, generating analytics).
5.3 Responsibility
You are solely responsible for Your Content and its compliance with applicable laws, including copyright, trademark, and defamation laws. You represent that you have the necessary rights and permissions for all content you upload or publish through the Service.
6. Third-Party Integrations
The Service integrates with third-party social media platforms and services (including but not limited to Facebook, Instagram, Twitter/X, LinkedIn, TikTok, and YouTube). Your use of these integrations is subject to the respective platform's terms of service and privacy policies. We are not responsible for the actions, content, or policies of any third-party platform.
We do not guarantee uninterrupted access to third-party platforms. Changes to third-party APIs or policies may affect the availability of certain features.
7. AI Features
The Service may include AI-powered features for content generation, suggestions, and optimization. Content generated by AI is provided "as-is" and should be reviewed before publishing. You are responsible for reviewing and approving all AI-generated content before it is published to your social media accounts. We do not use your content to train AI models.
8. Intellectual Property
The Service, including its design, features, code, documentation, logos, and trademarks, is owned by Mangrove Media and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, Mangrove Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
Our total liability to you for all claims arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
11. Indemnification
You agree to indemnify and hold harmless Mangrove Media, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Saskatchewan, Canada.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
